By accessing, using, or interacting with our services, including our website located at usenumero.com, mobile applications, application programming interfaces (APIs), and any other digital platforms or services operated by Numero, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any provision of these Terms, you must immediately cease using our services and discontinue any further interaction with our platforms.
These Terms apply to all individuals, entities, and organizations that utilize our services, regardless of their geographical location, citizenship, or residency status. Our services are primarily designed to serve African businesses and individuals, with particular focus on Nigerian markets, while maintaining compliance with international financial services standards and regulatory requirements.
2. Description of Services
Numero provides comprehensive financial technology infrastructure services designed to facilitate cross-border payments, virtual account management, and financial API integration for African businesses and individuals. Our services are designed to address the unique challenges faced by African companies in conducting international business operations and accessing global financial markets.
2.1 Cross-Border Payment Services
Our cross-border payment services enable users to send money from Nigeria to multiple international destinations with competitive exchange rates and transparent fees. These services include same-day processing for transactions initiated before 2:00 PM Nigerian time, comprehensive transaction tracking, and regulatory compliance with applicable financial services laws and anti-money laundering requirements.
2.2 Virtual Account Services
We provide virtual account solutions that allow businesses to receive payments in multiple currencies, manage international transactions, and maintain compliance with regulatory requirements. Virtual accounts are designed to facilitate cross-border business operations while ensuring security and regulatory compliance.
2.3 Virtual Card Services
Our virtual card services provide businesses with USD-denominated prepaid cards for international business expenses, online purchases, and cross-border transactions. These cards are designed to simplify international business operations while maintaining security and compliance standards.
2.4 Financial API Services
We offer comprehensive financial API services that enable businesses to integrate payment processing, virtual account management, and cross-border transfer capabilities into their own applications and platforms. Our APIs are designed to provide secure, reliable, and scalable financial infrastructure for businesses of all sizes.
3. Eligibility and Account Registration
To use our services, you must meet certain eligibility requirements and complete a comprehensive registration process. These requirements are designed to ensure compliance with applicable laws and regulations, protect the security of our platform, and maintain the integrity of our financial services.
3.1 Age and Legal Capacity Requirements
You must be at least 18 years old and have the legal capacity to enter into binding agreements to use our services. You are responsible for maintaining the security of your account credentials and for all activities conducted through your account. You agree not to share your account credentials with third parties, to use strong passwords, and to immediately notify us of any unauthorized access or suspicious activity. We are not liable for any losses resulting from unauthorized access to your account.

Our fee structure is designed to be transparent and competitive, with no hidden charges or monthly subscription fees. We operate on a transaction-based pricing model where fees are clearly disclosed before each transaction and are based on the specific service provided and the amount involved.
5.1 Transaction Fees
Transaction fees for our services are detailed on our pricing page and may vary based on the type of service, transaction amount, and other factors. All applicable fees are clearly displayed before transaction confirmation and are deducted from the transfer amount. We reserve the right to modify our fee structure at any time, with such changes becoming effective upon publication on our website and platforms.

We apply a competitive markup to exchange rates to cover our operational costs and provide sustainable services. Current exchange rates and markups are displayed in real-time on our web application and are based on current market conditions. We strive to provide competitive rates while maintaining service quality and regulatory compliance. Exchange rates and markups are subject to change based on market conditions and operational requirements.
5.3 Additional Charges
Additional charges may apply for specific services such as expedited processing, document verification, or compliance-related activities. These charges are clearly disclosed before service provision and are only applied with your explicit consent. We do not charge monthly maintenance fees, account opening fees, or other recurring charges.
6. Transaction Processing and Settlement
Our transaction processing system is designed to provide fast, secure, and reliable financial services while maintaining compliance with applicable regulations and ensuring the security of all transactions. We implement comprehensive security measures and monitoring systems to protect against fraud and unauthorized activities.
6.1 Processing Times and Cutoffs
Cross-border payments initiated before 2:00 PM Nigerian time are processed on the same business day, subject to receiving bank processing times and regulatory requirements. Transactions initiated after this cutoff time are processed on the next business day. Local transfers within Nigeria are typically processed within minutes, subject to receiving bank processing times.
6.2 Transaction Limits and Restrictions
We implement transaction limits and restrictions to ensure compliance with regulatory requirements and to protect against fraud and money laundering. These limits may vary based on your account type, verification level, and regulatory requirements. We reserve the right to adjust these limits based on risk assessment and regulatory compliance requirements.
6.3 Transaction Monitoring and Compliance
All transactions are monitored for compliance with applicable laws and regulations, including anti-money laundering requirements and financial crime prevention measures. We may request additional information or documentation for any transaction that requires further verification or compliance review. Failure to provide requested information may result in transaction delays or cancellation.
7. Account Management and Security
We provide comprehensive account management tools and security features to help you maintain control over your financial services and protect your account from unauthorized access. Our security measures are designed to meet industry standards and regulatory requirements while providing a user-friendly experience.
7.1 Account Access and Authentication
Access to your account is protected by multi-factor authentication, including password protection and additional verification methods. You are responsible for maintaining the security of your authentication credentials and for all activities conducted through your account. We recommend using strong, unique passwords and enabling all available security features.
7.2 Account Monitoring and Alerts

7.3 Account Suspension and Termination

Account suspension or termination may be immediate and may result in the loss of access to services and funds until the matter is resolved.

We are committed to protecting your privacy and personal information in accordance with applicable data protection laws and regulations. Our data collection, processing, and protection practices are detailed in our comprehensive Privacy Policy, which is incorporated into these Terms by reference.

We monitor all transactions for suspicious activity and are required to report suspicious transactions to relevant regulatory authorities. You acknowledge that we may delay, block, or report any transaction that appears suspicious or violates applicable laws or regulations. We are not liable for any losses resulting from compliance-related actions.
10. Intellectual Property and License
All content, features, and functionality available through our services, including but not limited to text, graphics, logos, software, and design elements, are owned by Numero or our licensors and are protected by intellectual property laws and regulations.
9.1 License to Use Services
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our services for their intended purposes. This license does not include the right to modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information obtained from our services.
9.2 API Usage and Integration
If you use our API services, you are granted a limited license to integrate our APIs into your applications in accordance with our API documentation and usage guidelines. You may not reverse engineer, decompile, or attempt to extract source code from our APIs, and you must comply with all rate limits and usage restrictions.
11. Disclaimers and Limitations of Liability
While we strive to provide reliable and secure financial services, there are certain limitations and disclaimers that apply to our services. These limitations are designed to protect both parties and reflect the inherent risks and limitations of financial services and technology platforms.
10.1 Service Availability and Performance
We strive to maintain high service availability and performance, but we do not guarantee that our services will be available at all times or that they will perform without interruption or error. Our services may be temporarily unavailable due to maintenance, technical issues, regulatory requirements, or other factors beyond our control. We aim to provide 99.5% uptime but cannot guarantee continuous availability.
10.2 Exchange Rate and Market Risks
Exchange rates are subject to market fluctuations and may change between the time of quote and transaction execution. We do not guarantee specific exchange rates or the timing of rate changes. You acknowledge that exchange rate fluctuations may affect the value of your transactions and that you bear the risk of such fluctuations. Our exchange rates are based on current market conditions and may vary throughout the day.
10.3 Regulatory and Compliance Risks
Financial services are subject to extensive regulatory requirements that may change over time. We cannot guarantee that our services will always comply with all applicable regulations in all jurisdictions. You acknowledge that regulatory changes may affect the availability or terms of our services and that you are responsible for ensuring your use of our services complies with applicable laws in your jurisdiction.
10.4 Limitation of Liability
To the maximum extent permitted by applicable law, our liability for any claims arising from or related to these Terms or our services is limited to the amount of fees you have paid to us in the twelve months preceding the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, data, or business opportunities, or any damages resulting from regulatory actions, compliance failures, or third-party service disruptions.
12. Indemnification and Defense
You agree to defend, indemnify, and hold harmless Numero and our officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of our services, violation of these Terms, or violation of any applicable laws or regulations.
11.1 Scope of Indemnification
Your indemnification obligations extend to all claims, actions, proceedings, and demands arising from or related to your use of our services, including but not limited to claims of intellectual property infringement, regulatory violations, fraud, money laundering, unauthorized transactions, data breaches, and any other activities that violate these Terms or applicable laws.
11.2 Defense and Settlement
We have the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims. You may not settle any claim without our prior written consent, and we may settle any claim without your consent if we determine that such settlement is in our best interests.
11.3 Costs and Expenses
You agree to reimburse us for all costs and expenses incurred in connection with any indemnified claim, including but not limited to legal fees, court costs, settlement amounts, regulatory fines, and any other expenses related to defending against or resolving such claims. This obligation survives the termination of these Terms.
13. Termination and Account Closure
These Terms remain in effect until terminated by either party. Termination may occur for various reasons including violation of these Terms, regulatory requirements, or business decisions. We will provide appropriate notice of termination and ensure that your rights and obligations are properly addressed.
12.1 Termination by You
You may terminate these Terms and close your account at any time by contacting our customer support team and following the account closure procedures. Upon account closure, you will lose access to our services, and any remaining balances will be processed according to our standard procedures and applicable regulatory requirements.
12.2 Termination by Us
We may terminate these Terms and close your account for various reasons including violation of these Terms, non-compliance with regulatory requirements, suspected fraud, or other activities that pose a risk to our platform or other users. We will provide appropriate notice of termination and the reasons for such action.
12.3 Effects of Termination
Upon termination, your right to use our services immediately ceases, and you must destroy any copies of our materials in your possession. We will process any remaining balances and provide you with a final statement of account. Certain provisions of these Terms, including those relating to intellectual property, privacy, and liability limitations, will survive termination.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Nigeria. Any disputes arising from or relating to these Terms or our services will be resolved through appropriate legal processes and in accordance with applicable laws and regulations.

These Terms and your use of our services are governed by the laws of Nigeria, without regard to conflict of law principles. Any legal action or proceeding relating to these Terms or our services must be brought in the courts of Nigeria, and you consent to the jurisdiction of such courts.
